Terms & Conditions

These Terms & Conditions govern your use of vachexinc.com and the consulting services of Vachex Inc, a California corporation ("Vachex", "we", "us"). By using the site, creating an account or engaging our services, you agree to them.
Accounts
Keep your account information accurate and your password secure. You are responsible for activity under your account. Tell us right away at info@vachexinc.com if you notice unauthorized use. We may suspend accounts that are misused.
Services and pricing
Package pages describe what an engagement usually includes, its typical length and a starting price. Starting prices are estimates, not offers, and may change. Your actual scope, deliverables, timeline and price are set in a written proposal or statement of work that you approve before any work begins. Changes to scope or schedule must be agreed in writing.
Call requests and communications
Submitting a call request does not create any obligation for you or for us. By submitting it, you agree that we may contact you by phone and email about your request. We send marketing emails only if you sign up, and you can unsubscribe at any time.
Invoices and payment
Prices are in U.S. dollars. You can pay invoices online from your client account by card or bank transfer (ACH) through our secure payment processor, or as stated on the invoice. Invoices are due by the date shown. You may make partial payments or deposits; they are applied to the invoice number you enter. Online payments are also subject to our payment processor's terms. A bank payment is final only once it clears, which usually takes a few business days. Sales tax is added where required. We may pause services while an invoice is overdue. Monthly engagements renew each month until cancelled as described in our Refunds & Cancellations policy.
Scheduling
After you request a call, we contact you within one business day. Once a proposal is approved, we schedule your kickoff. Please give at least 24 hours' notice to reschedule a session.
Your responsibilities
You agree to provide accurate information and to make the decisions about your own business. Our advice is based on the information you share.
Warranties
We perform services with reasonable care and skill, in a professional manner. Results depend on many factors outside our control, so we do not guarantee specific business, financial or legal outcomes. We do not provide legal, tax or accounting advice; consult a licensed professional for those matters. Except as stated here, the site and services are provided without other warranties, express or implied, to the extent permitted by law.
Confidentiality
We keep your business information confidential and use it only to deliver your services, except where disclosure is required by law.
Intellectual property
Site content, the Vachex name and logo, and the Compass Model belong to Vachex Inc. Deliverables prepared for you are yours to use within your business once paid in full. We may reuse general know-how and methods that do not include your confidential information.
Website use
Do not misuse the site: no attempts to access other people's accounts or our systems, interfere with the site's operation, send spam through our forms, or copy site content for commercial use without permission.
Limitation of liability
To the extent allowed by law, Vachex is not liable for indirect, incidental or consequential damages, such as lost profits, and our total liability for any claim is limited to the amount you paid for the service involved.
Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Disputes will be handled in the state or federal courts of Los Angeles County, California.
General
These terms, together with any proposal or statement of work you approve, are the entire agreement between you and Vachex about their subject. If a signed proposal conflicts with these terms, the proposal controls. If any part of these terms cannot be enforced, the rest remains in effect.
Changes to these terms
We may update these terms. The effective date at the top shows the latest version. The version in effect when you approve a proposal applies to that engagement.
